Terms of Service
This document is being finalized with our legal advisors and may change before launch.
These Terms govern use of CoachMax and coachmax.maxuniversity.org, provided by The Boost Pad Inc., a nonprofit doing business as Max University ("Max University," "we," "us"). By creating an account or using the service, you agree to these Terms. If you accept on behalf of an organization, you confirm you have authority to bind it.
1. The service
CoachMax helps organizations assess learner work against rubrics they define, deliver feedback, and track progress. Features depend on the organization's plan.
2. Accounts
- Provide accurate information and keep your sign-in credentials secure. Administrators must enable two-factor sign-in.
- Learners must be at least 18 years old. CoachMax is not offered to minors.
- Organizations are responsible for who they invite and the roles they assign.
3. Organization responsibilities
- Have the right to upload curriculum, rubrics, and learner information, and give any notices or obtain any consents the law requires (including under FERPA).
- Review AI assessments where appropriate. CoachMax supports instructors; it does not replace their judgment.
- Use the service lawfully and only for education, training, and coaching.
4. Acceptable use
Do not: upload malware; try to access other organizations' data; probe or break our security (report issues to security@maxuniversity.org instead); misuse the AI to generate harmful content; resell the service without permission; or overload the service.
5. Your content
Organizations and learners keep ownership of their content. You grant us a limited license to host, process, and display it only to provide and secure the service. We do not use your content to train AI models.
6. AI output
AI-generated assessments and feedback may contain errors. They are provided to support, not replace, instructor review. Final grades and decisions are the organization's responsibility.
7. Plans, billing, and renewals
- Paid plans are billed in advance at the monthly amount shown on Plan & Billing. Until online payment launches, we invoice organizations directly; once it launches, billing runs through our payment processor. Plans renew automatically until cancelled.
- Features unlock when payment succeeds (or when we confirm your plan) and lock if a plan is downgraded or cancelled at the end of the paid period. Your data stays saved.
- Each plan includes a number of learners for the whole organization (open invitations hold a seat). Once it's reached, new learners can't be added until you remove some or upgrade; existing learners are never removed automatically.
- To move to a smaller plan, your organization must first fit that plan's limits (learners, active curricula, LMS connections). Plan & Billing shows exactly what to remove and what features you would lose.
- If a payment fails or an invoice goes unpaid, we may pause your organization's access after notifying its administrators. While paused, members can't submit work, invite people, or use the API; your data stays saved, and access returns as it was once the account is settled.
- Enterprise pricing follows the accepted quote. Fees are non-refundable except where required by law, stated in a quote, or when we choose to issue a refund (for example after a billing mistake); refunds go back the way you paid.
- We may change prices with at least 30 days' notice before your next renewal.
8. Cancellation and termination
You can cancel anytime by emailing support@maxuniversity.org (and, once online payment launches, from Plan & Billing); access continues until the end of the paid period. We may suspend accounts that violate these Terms or put others at risk. After termination you can export your data for 30 days, after which we delete it.
9. Confidentiality and privacy
Our Privacy Policy and, for organizations, our Data Processing Agreement explain how we handle personal information.
10. Warranties and disclaimers
We will provide the service with reasonable skill and care. Otherwise the service is provided "as is," and we disclaim implied warranties to the extent the law allows.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect or consequential damages, and our total liability is limited to the fees paid in the 12 months before the claim. [Lawyer to confirm.]
12. Governing law
These Terms are governed by the laws of the State of North Carolina, USA. Disputes will be resolved in the state or federal courts located in North Carolina. [Lawyer to confirm venue.]
13. Changes and contact
We will notify administrators of material changes at least 30 days in advance. Questions: support@maxuniversity.org. The Boost Pad Inc. (Max University), 2400 Greenland Ave., Charlotte, NC 28208, USA.
